Course Overview

This course enables manufacturing industry professionals to understand and apply corporate governance frameworks to enhance accountability, strategic decision-making, and stakeholder trust within manufacturing enterprises. It explores board structures, shareholder rights, regulatory frameworks, ESG integration, and the governance of sustainability and risk, with case studies from global manufacturing contexts.

Module 3: Board Structure, Roles, and Responsibilities (1 ECTS)

  • Roles of CEO, Chairperson, and Independent Directors
  • Board committees: Audit, Risk, Remuneration, ESG committees
  • Board effectiveness and evaluation

Module 4: Risk Management and Internal Controls (1 ECTS)

  • Corporate risk governance frameworks
  • Identifying and managing operational, financial, and reputational risks in manufacturing

  • Cybersecurity governance in smart manufacturing

Module 5: ESG and Sustainability in Governance (1 ECTS)

Capstone Project Alignment

Learners will prepare a governance audit report or board improvement plan for a manufacturing unit (their employer or a case company) aligned with ESG and operational excellence principles, supervised by Mentogram faculty.

Certification

On successful completion, learners will receive:

  • “Corporate Governance for Manufacturing Industry Leaders” module completion certificate with 6 ECTS credits under Mentogram’s Global TEMBA program, accredited under European Standards.
